  • Date, time, place and confirmation of proper notice to all members
  • Number of units represented in person and by proxy, and whether a membership quorum was met
  • Officer and committee reports (president, treasurer, ARC) - by title, briefly summarized
  • Budget presentation and the ratification result (or rejection) under your governing documents
  • The election: candidates, method of voting, ballots cast, and the results by seat
  • Any members' motions properly brought and their votes
  • Announcements and the time of adjournment

Quorum and proxies - the details that trip boards up

Annual meetings frequently fail to reach quorum. Your minutes should state the quorum requirement, the number present and by proxy, and - if quorum was not met - exactly what the board did next (adjourned, reconvened, or relied on a reduced-quorum provision). Record proxy counts precisely; a vague "quorum reached" line is not enough if the vote is later contested.

Document the voting method (paper ballot, online voting, or both), who tallied the votes, and the outcome by seat. Neutral, factual, complete. Keep campaign statements and debate out of the minutes.
