Board Resolution — Adoption of CAI Membership & Board Education

WHEREAS, the members of the Board of Directors owe the Association a fiduciary duty and are expected to make informed, well-governed decisions on behalf of all owners; and
WHEREAS, the Community Associations Institute (“CAI”) is the leading national authority on community-association governance, education, and advocacy, serving community associations since 1973; and
WHEREAS, CAI provides board-member education, best-practice resources, legislative monitoring, and access to specialized professionals that help directors understand and fulfill their obligations and reduce the Association’s legal and financial risk; and
WHEREAS, board education is an administrative and risk-management expense that benefits the Association and its members, comparable to management, legal, and insurance costs;
NOW, THEREFORE, BE IT RESOLVED that the Association:
- Approves enrollment in CAI membership for the Association and/or its board members in the applicable Homeowner Leader membership category, at current published dues;
- Authorizes and encourages board members to complete CAI’s board-education offerings, including the Board Leadership Development / Board Leader Certificate course;
- Authorizes the Association to pay the membership dues and reasonable board-education costs as a budgeted Association expense; and
- Directs the appropriate officer(s) to complete enrollment and record this resolution in the minutes of this meeting.
